By your submission of photographic material to Nat Nast for its Insider’s Club Photo Album, you hereby warrant that you are the author/creator of such material or have the authority to submit such material on behalf of the author(s), that the contents of such material do not infringe the trademark, copyright, privacy or publicity rights, or any other right of any third party and that you have secured any and all necessary rights, consents, permissions and releases. Nat Nast may use your submitted photographic materials for promotional and entertainment purposes on its website, on any printed matter including, without limitation, advertising and promotional materials, and as a component or portion of any advertising or promotion in multimedia, video or audio/video form, free of any charge or claim by you for any such use. You further agree to indemnify Nat Nast, its affiliates, officers, directors, employees and related companies against any losses, expenses, costs or damages incurred in the event of your breach of the terms set forth above and those otherwise governing the Nat Nast website.

By your submission of any idea, story or other written material (including sketches or drawings) (collectively “Material”) to Nat Nast for consideration for its possible use as the basis for an embroidered design for Nat Nast’s limited edition embroidered shirts or accompanying textual matter for those shirts (for items such as selling books and labels), you hereby warrant that you are the author/creator of such Material or have the authority to submit such Material on behalf of the author(s), that the contents of such Material do not infringe the trademark(s), copyright(s), privacy or publicity rights or any other right of any third party and that you have secured any and all necessary rights, consents, permissions and releases. If your submission is selected for use by Nat Nast, you acknowledge that Nat Nast shall have any and all exclusive rights of authorship, including copyright, to any original design or textual matter created by it, in whole or in part, on the basis of such submission. Nat Nash shall be exclusively entitled to register the copyright of any embroidered design or textual matter based, in whole or in part, on your submission in its name as sole author and claimant, enforce the rights in and to such copyright against any third party and receive any damages there from. You also acknowledge and agree that you shall not be entitled to any rights, fees or other financial compensation for your submission other than one item of any Nat Nast shirt bearing the embroidered design based on your submission. You further agree to indemnify Nat Nast, its affiliates, officers, directors, employees and related companies against any losses, expenses, costs or damages incurred in the event of your breach of the terms set forth above and those otherwise governing the Nat Nast website.
